The terms for the sale and delivery of our portable toilets, shower units and urinal stations.

These terms apply to orders for portable toilets, portable shower units, urinal stations and related sanitation equipment. For our modular buildings, welfare units and site cabins, our main Terms & Conditions apply instead; for shipping and storage containers our Container Supply Terms apply; and for flat-pack stores our Flat-Pack Store Supply Terms apply. Where these portable toilet terms and our website terms differ in relation to a portable toilet order, these terms take precedence.
Cabinworx is a trading name of Square Root Trading Ltd, a company registered in England and Wales (company number 13788133, VAT number 428951662), whose registered office is in Rickmansworth WD3 1RE. In these terms "we", "us" and "our" mean Square Root Trading Ltd trading as Cabinworx, and "you", "your" and "the Client" mean the person, firm, company or other organisation buying from us.
Our sales are business to business. By placing an order you confirm that you are buying wholly or mainly for the purposes of your trade, business, craft or profession and not as a consumer.
Our portable toilets are free-standing, self-contained sanitation units sold outright for you to own, site and maintain. Unless the product listing states otherwise, a unit is not connected to mains water or drainage: waste is held in the unit's integral holding tank and must be emptied and treated by you. Mains-connected models must be installed by a suitably qualified person and connected to appropriate water, drainage and, where applicable, electrical supplies. We sell equipment only; we do not provide emptying, servicing or waste collection.
All prices are quoted exclusive of VAT, which is charged at the prevailing rate, and are valid for the period stated on the face of the quotation and only while stock remains available. Prices are based on costs at the date of quotation and may be adjusted before order to reflect changes in supply or transport costs. Stock is reserved once cleared payment has been received. Where a unit is listed as price on application, no price applies until we confirm one in writing on a quotation.
A quotation is an invitation to order and is not an offer capable of acceptance. A contract is formed only when we issue an order acknowledgement or invoice, or when we accept your payment, whichever happens first. These terms apply to the contract to the exclusion of any terms you seek to impose or incorporate, including any terms in a purchase order.
Payment in full in cleared funds is required before dispatch. No retention, deduction or set-off applies, and deposits are non-refundable.
Units are supplied ex-works and delivery is quoted separately against your delivery postcode. Unless otherwise agreed, delivery is a kerbside tail-lift delivery by pallet courier: the unit is lowered at the kerb or the nearest safe point of access, and moving it from there to its final position is your responsibility. Units are delivered fully assembled and typically weigh between 70 kg and 135 kg, so at least two people, or suitable moving equipment, will be needed.
You must ensure the delivery address is accessible to the delivery vehicle. Any access restrictions must be advised at the time of order, and surcharges apply to offshore, non-mainland and remote areas. If a delivery fails because access was not as described or nobody was available to receive it, the cost of re-delivery is yours.
Delivery dates are estimates given in good faith and may be affected by supplier or transport factors outside our control. Time of delivery is not of the essence.
You are responsible for siting the unit on firm, level ground, for securing or ballasting it in exposed locations, and for its safe use and upkeep. Units must be used with an appropriate toilet chemical in accordance with the chemical manufacturer's instructions. We accept no liability for issues arising from unsuitable siting, overturning in high winds, frost damage to an unwinterised unit, or use contrary to the product's design.
Units are supplied new, clean and empty. Once a unit has been used, emptying, cleaning and the lawful disposal of waste are entirely your responsibility. Waste from portable toilets must be disposed of through a licensed waste carrier or an authorised disposal point, never into surface drains or watercourses. If a unit is returned to us or collected for any reason, it must first be emptied, cleaned and disinfected; we may refuse collection of, or charge a decontamination fee for, any unit presented in an unsanitary condition.
You must check the goods carefully before signing for them and note any visible damage on the delivery note; if a unit is materially damaged we recommend refusing the delivery. Any damage or shortage must be reported to us in writing, with photographs, within 48 hours of delivery. Risk passes to you on delivery.
Title remains with Square Root Trading Ltd until payment has been received in full. Until then the goods must be kept identifiable and insured and must not be sold, modified or encumbered.
Units are moulded plastic products manufactured to the standard specification shown on the product listing. Minor cosmetic marks, scuffs and small variations in colour or finish can occur in manufacture and transit and are not defects, and are not grounds for rejection or a claim, provided the unit is sound and functional. Colours shown online are indicative and may vary between production batches.
Any manufacturing defect must be reported to us in writing, with photographs, within 48 hours of delivery. Where a defect is confirmed, our liability is limited to repair or replacement of the defective unit or part, or a refund of the price paid for it, at our option. Other than as set out in this clause, no warranty or guarantee is given, and all conditions, warranties and other terms implied by statute or common law are excluded to the fullest extent permitted by law. If the manufacturer provides its own warranty or spares support for a product, we will pass on the benefit of it where we are able to, but we are not the guarantor of it.
Orders cancelled after payment but before dispatch are subject to an administration charge of 5% of the order value. Orders cancelled after dispatch are additionally subject to the delivery and return carriage costs plus a restocking charge of 20% of the order value.
For reasons of hygiene, a unit that has been used cannot be returned except where a manufacturing defect has been confirmed under clause 12. Returned goods must be unused, clean and in their original condition, and you are responsible for the cost and safe packaging of any return.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
Subject to that, our total liability arising out of or in connection with an order is limited to the price paid for the goods, and we are not liable for loss of profit, loss of business, business interruption, loss of anticipated savings, or any indirect or consequential loss.
You are responsible for insuring the goods from the point risk passes to you on delivery.
We are not liable for any delay in or failure to perform our obligations caused by events outside our reasonable control, including supplier failure, transport disruption, industrial action, extreme weather, fire, flood, and acts or restrictions of government.
These terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force. No failure or delay by us in exercising a right is a waiver of it. A person who is not a party to the contract has no rights under the Contracts (Rights of Third Parties) Act 1999. These terms, together with the quotation and order acknowledgement, form the entire agreement between us.
