The terms for the sale and delivery of our flat-pack storage containers.

These terms apply to orders for flat-pack storage containers supplied for self-assembly. For our modular buildings, welfare units and site cabins, our main Terms & Conditions apply instead, and for shipping and storage containers our Container Supply Terms apply. Where these flat-pack terms and our website terms differ in relation to a flat-pack order, these flat-pack terms take precedence.
Cabinworx is a trading name of Square Root Trading Ltd, a company registered in England and Wales (company number 13788133, VAT number 428951662), whose registered office is in Rickmansworth WD3 1RE. In these terms "we", "us" and "our" mean Square Root Trading Ltd trading as Cabinworx, and "you", "your" and "the Client" mean the person, firm, company or other organisation buying from us.
Our sales are business to business. By placing an order you confirm that you are buying wholly or mainly for the purposes of your trade, business, craft or profession and not as a consumer.
A flat-pack store is a galvanised steel storage container delivered in component form on a pallet or bundle, for assembly on site. It is not a modular building and it is not a shipping container. It is not designed or supplied as habitable accommodation, as a workplace requiring building regulations approval, or for stacking, lifting when loaded, or transport by sea.
All prices are quoted exclusive of VAT, which is charged at the prevailing rate, and are valid for the period stated on the face of the quotation and only while stock remains available. Prices are based on costs at the date of quotation and may be adjusted before order to reflect changes in supply or transport costs. Stock is reserved once cleared payment has been received.
A quotation is an invitation to order and is not an offer capable of acceptance. A contract is formed only when we issue an order acknowledgement or invoice, or when we accept your payment, whichever happens first. These terms apply to the contract to the exclusion of any terms you seek to impose or incorporate, including any terms in a purchase order.
Payment in full in cleared funds is required before dispatch. No retention, deduction or set-off applies, and deposits are non-refundable.
Flat-pack stores are supplied ex-works and delivery is quoted separately against your delivery postcode. Charges depend on your location and offloading facilities, and surcharges apply to offshore and non-mainland areas.
Offloading is your responsibility using a forklift or telehandler with extended forks and a trained operator, unless a crane (HIAB) delivery has been quoted and agreed. Crane delivery is subject to availability and must be confirmed before ordering. Any access restrictions must be advised at the time of order so a suitable vehicle can be arranged.
Delivery dates are estimates given in good faith and may be affected by supplier or transport factors outside our control. Time of delivery is not of the essence.
Flat-pack stores are supplied for self-assembly unless assembly is separately quoted. You are responsible for providing a firm, level base and for assembling the unit in accordance with the supplied instructions. We accept no liability for issues arising from an unsuitable base or from assembly not carried out in accordance with the instructions.
You must check the delivery against the parts list and note any visible damage or shortage on the delivery note before signing. Any damage or shortage must be reported to us in writing, with photographs, within 48 hours of delivery.
Risk passes to you on delivery.
Title remains with Square Root Trading Ltd until payment has been received in full. Until then the goods must be kept identifiable and insured and must not be sold, modified or encumbered.
Flat-pack stores are manufactured, packed and transported in component form. Minor cosmetic marks, scratches, scuffs and small variations in coating or paint finish can occur in manufacture and transit and are not defects, and are not grounds for rejection or a claim, provided the components are structurally sound and the assembled unit is weatherproof and functional.
New flat-pack stores carry a 12 month warranty from delivery against material structural defects. The warranty excludes fair wear and tear, misuse, incorrect assembly, poor siting and damage after delivery. Our liability under the warranty is limited to repair or replacement of the defective part at our option.
Orders cancelled after payment but before dispatch are subject to return carriage plus an administration and restocking charge of 20% of the order value. Once delivered, goods may not be returned except in the case of a manufacturing defect, and you are responsible for the cost of returning any item.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
Subject to that, our total liability arising out of or in connection with an order is limited to the price paid for the goods, and we are not liable for loss of profit, loss of business, business interruption, loss of anticipated savings, or any indirect or consequential loss.
You are responsible for insuring the goods from the point risk passes to you on delivery, including while the unit is in component form and during assembly.
We are not liable for any delay in or failure to perform our obligations caused by events outside our reasonable control, including supplier failure, transport disruption, industrial action, extreme weather, fire, flood, and acts or restrictions of government.
These terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force. No failure or delay by us in exercising a right is a waiver of it. A person who is not a party to the contract has no rights under the Contracts (Rights of Third Parties) Act 1999. These terms, together with the quotation and order acknowledgement, form the entire agreement between us.
